myLocus – End User Licence Agreement

The Website and CMS are operated by Core Vision Pty Ltd (ABN 83 094 542 971) (us, we, our). The term ‘you’ or ‘your’ refers to:

in the case of the Website, a User of the Website (whether a Registered User or not); and
in the case of the CMS, a Registered CMS User.

By using or accessing the Website or CMS, you acknowledge that you have read, understood, and agree to be bound by this End User Licence Agreement (EULA). If you do not agree to this EULA, you cannot use the Website or the CMS.

You can use the Website without being a Registered User; however, you must become a Registered User if you would like to access certain content, features and functionality.

You can only use the CMS if you become a Registered CMS User.

Requirements
To become a registered user of the Website (Registered User), you must:
- be over 18 years of age;
- be capable of forming a legally binding contract;
- create a Profile with a unique username and password;
- in your Profile, provide your full name and e-mail address.
- To become a registered user of the CMS (Registered CMS User), you must:
  - be authorised by the Property Administrator to use the CMS;
  - be over 18 years of age;
  - be capable of forming a legally binding contract;
  - create a Profile with a unique username and password;
  - in your Profile, provide your full name and e-mail address.
- We reserve the right to:
  - request further information from you (e.g. mobile number, gender, etc) before granting access to certain content, features and functionality in the Website and CMS;
  - request documentation from you to enable us to verify the information you provide in your Profile is true and correct (including verifying your identity) before granting you access to the Website as a Registered User or access to the CMS as a Registered CMS User;
  - not grant you access to the Website or the CMS if you do not provide the information requested by us pursuant to clause 3.1 or 1.3.2, or if we are otherwise unable to verify the information you provide to us to our satisfaction.

Your use of the Website and/or CMS

You agree that:
- we are providing the Website, CMS and Content to you for your sole personal use and benefit;
- subject to the limited licence granted in clause 4, you will not use or otherwise misappropriate Content in a way which infringes Core Vision’s or a third party’s Intellectual Property Rights;
- your use of the Website, CMS and Content is entirely at your own risk and you agree to accept full liability and responsibility for any Loss or Claim in connection with your use of the Website, CMS and the Content;
- you will not use the Website, CMS or Content in any manner that is illegal, unlawful or in any manner contrary to or prohibited by this EULA.
Without limiting clause 2.1.4, you agree that you will not, directly or indirectly:
- copy, modify, translate, enhance or adapt the Website, CMS or Content;
- distribute, sell, sublicense, rent, transfer or otherwise dispose of the Website, CMS or Content;
- advertise or attempt to create any competitive product or any service which has features or functionality the same as or similar to the features and functionality of the Website, CMS or Content or copy any features, functions, graphics or interfaces of the Website, CMS or Content;
- hack into or insert malicious code, including viruses, trojans, worms, logic bombs or other harmful or destructive code or data, into the Website, CMS or Content or any operating system, including through password mining, phishing or other means;
- use automated scripting tools or software in connection with the Website, CMS or Content;
- share Personal Information about Users with other Users or any third party;
- market, advertise or promote any product or service to Users without the approval of the Property Administrator. Core Vision retains the right, in its sole discretion, to remove any advertising that it considers offensive, illegal, inappropriate or violates the rights of any person;
- in the case of Registered CMS Users, provide access to the CMS to individuals who are not employees or authorised contractors of the Property Administrator without Core Vision’s permission;
- circumvent the Website’s and/or CMS’s structure, presentation or navigational function so as to obtain information that Core Vision has chosen not to make publicly available on its Website and/or CMS;
- remove any product identification, proprietary, copyright or other notices contained in the Website, CMS or Content;
- circumvent or disclose the user authentication or security of the Website, CMS or Content;
- interfere with or disrupt the software or systems used to host the Website, CMS or Content, or other systems, equipment or networks connected to the Website, CMS or Content;
- attempt to reverse engineer, disassemble, or decompile the Website, CMS or Content or determine or attempt to determine any source code, algorithms, methods or techniques used or embodied in the Website, CMS or Content;
- make any use of the Website, CMS or Content that violates any applicable law or regulation.
Without limiting clause 2.1.4, you further agree that you will not, directly or indirectly, use the Website or CMS to:
- upload User Content which infringes a third party’s (including another User’s) Intellectual Property Rights (including infringing copyright by uploading any User Content to which you do not have the right to upload), or disclose any trade secret or confidential information in violation of a confidentiality, employment, non-disclosure or similar agreement;
- publish, distribute, communicate or otherwise re-send another User’s User Content without their express permission;
- use or otherwise misappropriate User Content in a way which infringes a User’s Intellectual Property Rights (including infringing copyright by reproducing any User Content which you do not have the right to reproduce);
- publish, exchange or communicate comments to offend or insult others (which shall be judged in the sole and absolute opinion of Core Vision);
- publish, distribute or otherwise disseminate information which is false, inaccurate, misleading or deceptive, unlawful, abusive, malicious, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another’s privacy right or right of publicity, or racially or ethnically objectionable or inappropriate (which shall be judged in the sole and absolute opinion of Core Vision);
- defame, abuse, harass, stalk, threaten or intimidate others;
- impersonate another person;
- solicit money or passwords from other Users;
- breach the confidence of or otherwise violate the legal rights (such as the rights of privacy) of others, including other Users;
- disrupt an exchange of information between Users or otherwise act in a manner that negatively affects other Users, including through a denial-of-service attack or a distributed denial-of-service attack;
- transmit any unsolicited advertising, promotional materials (including in relation to any contest or pyramid scheme), surveys, chain letters or any other forms of solicitation, unless expressly authorised by Core Vision;
- harvest information about other Users in order to transmit, or facilitate the transmitting of such materials as listed in clause 2.3.11 above;
- supply another service, or to obtain information which you either incorporate into your own service or product to enhance your service or product or your business in any way, such as to create potential customer lists. Any commercial use of the Website, CMS, Content and User Content that is not your User Content beyond what is expressly approved in this EULA requires the prior written approval of Core Vision;
- supply third party advertising services (e.g. Google advertising);
- use, or permit the use of, the Website, CMS or Content in any manner that would be materially detrimental to or inconsistent with the name, goodwill, reputation and image of Core Vision and its products and services;
- breach any applicable laws or regulations.
We reserve the right to monitor use of the Website and CMS by you or any other person but have no obligation to do so.
You further acknowledge that:
- Core Vision may delete any User Content posted on the Website or CMS for any reason, including if, in Core Vision’s sole discretion, such User Content breaches this EULA or is offensive, illegal, inappropriate or violates the rights of any person;
- Core Vision provides the Website and CMS to, among other things, facilitate the sharing of information and interactions between Users, but does not guarantee that the information and services made available through the Website or CMS or your interactions with other Users will result in a particular outcome;
- your correspondence or dealings with any other User are solely between you and that User, and you agree that we will not be liable or responsible for any Loss or Claim incurred as the result of such dealings;
- we are not a party to nor do we participate in any transaction between you and another User.

Content Disclaimer

You acknowledge that:
- the Website and CMS contains User Content (i.e. content created by building owners, building occupiers and others on their behalf, etc) over which Core Vision exercises no editorial control;
- although we do not monitor or exercise any editorial control over the User Content, we reserve the right:
  - to access or examine any User Content; and
  - at our discretion move, remove or disable access to the User Content which we consider, in our sole opinion to breach any applicable law or to be otherwise unacceptable;
- Core Vision does not review and ensure the accuracy or currency of data or information posted by Users;
- Core Vision does not provide any warranty or assurance as to the accuracy, reliability, currency, quality, relevance, completeness, validity or fitness for a particular purpose of the Content;
- Core Vision does not guarantee that you will achieve a particular result or outcome by using the Website, CMS or Content; and
- you accept all responsibility for the consequences of your use, or non-use, of the Website, CMS and Content.

Intellectual Property

You acknowledge that Core Vision is the proprietor or authorised licensee of all Intellectual Property Rights in relation to the Website, CMS and the Content. You may not reproduce or replicate any part of the Content, the layout or design of the Website or CMS nor their functionality.
Your use of the Website, CMS and Content does not provide you with any Intellectual Property Rights therein.
You may view Content made available from the Website for your personal use provided you do not modify the content in any way, including by removing any copyright notice or trade marks and otherwise comply with this EULA. You may not disseminate copies of Content to any third parties.
You acknowledge that the “Core Vision” trade mark, “myLocus” word and logo trade marks are owned by Core Vision and all other trade marks and logos displayed on the Website and CMS are the property of their respective owners and are protected by applicable trade mark and copyright law.
You, to the fullest extent possible, agree to provide Core Vision with a non-exclusive, perpetual, royalty-free licence to use, reproduce, modify, upload, display, publish, communicate, distribute or otherwise make available on the Website and CMS the User Content you upload or submit to Us, for the purpose of:
- providing access to the Website to you and other Users; and
- providing access to the CMS to Registered CMS Users and the Property Administrator;
- further developing the Website and CMS including but not limited to improving its functionality and algorithms.

Links

The Website, CMS and Content may include links to other websites not owned or controlled by us (Third Party Websites). Core Vision makes no express or implied representation or warranty or guarantee as to the content, suitability, functionality or accuracy of any Third Party Websites.
Third Party Websites are subject to the terms and conditions outlined by that third party.
Any links to Third Party Websites do not:
- indicate a relationship between Core Vision and the third party; or
- indicate any endorsement or sponsorship by Core Vision of the Third Party Website, or the goods or services it provides,

unless specifically indicated by Core Vision.

Personal Information

You agree that we may disclose the Personal Information we collect about you (including, but not limited to, your name and contact details) to the relevant authorities if we consider you are in breach of this EULA. If you have infringed the Intellectual Property Rights of a third party, you agree that we may provide your personal details to the relevant intellectual property rights holder.
You agree that we may disclose any information we, in our absolute discretion, consider we are required to disclose in order to satisfy any applicable rule of law, regulation, legal process or government request.

Website support and assistance

The Property Administrator and not Core Vision is responsible for providing support and general assistance relating to the Website.

Exclusions and Limitations of Liability

All terms, warranties and representations not expressly stated in this EULA, are excluded to the extent permitted by law.
Without limiting clause 8.1, Core Vision does not warrant or guarantee:
- that the Website or CMS will be free from viruses (including malware or spyware) or other destructive properties; or
- that the operation of the Website or CMS will be uninterrupted or error free.
Nothing in this EULA excludes, restricts or modifies any condition, warranty, right or remedy implied or imposed by any statute or regulation which cannot lawfully be excluded, restricted or modified.
Subject to the provisions of the Australian Consumer Law as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), our maximum total aggregate liability for all loss, damage, cost or expense arising under or in relation to this EULA, whether in contract, tort (including negligence), equity, under statute, or on any other basis is limited to AUD$50.
Core Vision is not liable for, nor will you have any remedy or entitlement to make a claim (whether contractual, tortious or otherwise) in respect of any Loss or Claim:
- in consequence of, or resulting directly or indirectly out of the use or reliance upon, the Website, CMS or the Content;
- relating to viruses or any technologically harmful matter that may infect your computer or device which you use to access the Website or CMS;
- for special, indirect, incidental or consequential damages, losses, costs, or expenses.
Our liability to you under or in relation to this EULA is reduced to the extent that your acts or omissions, or those of a third party, contributed to or caused the liability.

Warranty

You agree and warrant that:
- all information that you provide to Core Vision about yourself, including your contact details, personal details and username is true, accurate, current and complete and that you will notify Core Vision of any changes to that information in a timely fashion;
- you will not share your password with others or allow others to use your username and password.
You further agree that you will not:
- provide Core Vision with false, inaccurate or misleading information;
- act fraudulently or in any manner contrary to any applicable law;
- create liability for Core Vision or cause Core Vision to lose (in whole or in part) the services of third party providers.

Content Amendments

We may amend, remove, alter or vary any of the Content on the Website or CMS at any time, without prior notice to you.

Assignment

We may, at any time and without the need for consent or approval from you, assign or transfer all or any of our rights or obligations under this EULA to any person.
You may not assign or transfer any of your rights or obligations under this EULA without obtaining our prior written consent (which consent may be withheld without us being required to give any reasons therefore).

Severability

Where any provision of this EULA is invalid or not enforceable in accordance with its terms, other provisions of the EULA which are self-sustaining and capable of separate enforcement are, and continue to be, valid and enforceable in accordance with their terms.

Inability to carry out obligations

If we are unable to perform any or all of our obligations under this EULA by reason of an event which is not reasonably within our control including without limitation omissions or impositions by federal or national government authorities, fire, flood, earthquake and other natural disasters, acts of god, war, revolution, strike, fuel shortages and shortage of raw materials, we are relieved of those obligations to the extent and for the period that they are unable to be performed.

Termination

We reserve the right to limit, suspend or terminate your access to the Content, the Website, the CMS or any of their pages at any time and without any prior notice, if you have breached this EULA.
Your access to the Website and/or CMS may be suspended or terminated if the Property Administrator:
- chooses not to renew its agreement with Us or the agreement otherwise comes to an end; or
- breaches its agreement with Us.
You can deactivate your access to the Website or CMS at any time by providing notice in writing to support@mylocus.com.au.

Amendments

We may amend this EULA from time to time. If we do, the amended EULA will be published on the Website and the CMS and, to the extent practicable, we will identify the amendments made since the EULA was last changed. You agree that it is your responsibility to check for updates to our EULA. You further agree that your continued use of the Website and/or CMS is acceptance of our amendments to the EULA.

Applicable Law

This EULA and any dispute or claim arising out of or in connection with them will be governed by and construed in accordance with the laws of Western Australia.
You irrevocably agree that the courts of Western Australia will have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this EULA.

Notices

Core Vision may give notice to you by either direct communication to the email address provided in your Profile or generally by publication of a generic message or communication on a notice board or information link accessible to and found on the Website. You may give notice to us by email at support@mylocus.com.au.

Definitions

In this EULA, the following words have the meanings set out below:

Content means any course content, text, documents, videos, webinars, graphics, user interfaces, visual interfaces, photographs, trade marks, logos, sound records, music, artwork, computer code and other material used, displayed or available on the Website or CMS and includes User Content.

CMS means the myLocus content management system for an occupier engagement platform hosted and operated by Core Vision which allows the Property Administrator and its Registered CMS Users to create, modify and maintain the Website’s Content.

Intellectual Property means:

inventions, discoveries and novel designs, whether or not registered or registrable as patents or designs, including developments or improvements of equipment, products, technology, processes, methods or techniques;
copyright (including future copyright) throughout the world in all literary works, artistic works, computer software, and any other works or subject matter in which copyright subsists and may in the future subsist;
trade and service marks (whether registered or unregistered) and domain names;
confidential information and trade secrets,

including in particular any intellectual property vesting in the Website, CMS and any Content used, displayed or available on the Website and CMS.

Intellectual Property Rights means any rights as may subsist in the Intellectual Property.

Loss or Claim means, in relation to any person, any damage, loss (including consequential loss), cost, charge, outgoing, payment, expense or liability, including without limitation, lost profits, lost revenue, loss of opportunity, loss of or damage to reputation or goodwill, personal injury, loss of life, accident, harm, incurred or suffered by the person or a claim, action, proceeding or demand made against the person, however arising, and whether present or future, fixed or unascertained, actual or contingent.

Personal Information has the same meaning given to it in the Privacy Act 1988 (Cth).

Profile means the user profile created by you in order to access the Website as a Registered User or the CMS as a Registered CMS User as the case may be.

Property means the property or premises which are the subject of the Website and/or CMS that you are presently accessing, or seeking to access, as a User.

Property Administrator means an entity who has entered into an agreement with Core Vision to gain access to the CMS on certain terms and conditions.

Registered CMS User means the term defined in clause 1.2

Registered User means the term defined in clause 1.1.

User means a Registered User, a Registered CMS User and a user that accesses the Website without becoming a Registered User.

User Content means any text, graphics, photographs, trade marks, logos, artwork and other material uploaded, displayed or made available on the Website or CMS by a User and includes that User’s Profile.

Website means the website hosted by Core Vision which provides occupiers and the general public with information about the Property including but not limited to the Property’s services, facilities, events, news and tenants.

myLocus – Privacy Policy

Your privacy is important to Core Vision Pty Ltd (ABN 83 094 542 971), our subsidiaries and affiliates (“CoreVision”, “we”, “us” or “our”). CoreVision is committed to protecting your privacy and complying with its obligations under the Privacy Act 1988 (Cth).

The terms, “CMS”, “Content”, “Profile”, “Property”, “Property Administrator” and “Website”, as used in this Privacy Policy, are defined in the End User Licence Agreement available at mylocus.com.au/key-documents/EULA.pdf.

If the term “you” or “your” is used in this policy without referring to a specific category of person, it is deemed to refer to all individuals who interact with us. Otherwise, the term “you” or “your” should be read as referring to the category of individual as specified.

This policy governs CoreVision’s collection, storage, use and disclosure of your personal information and the choices you can make about the way your information is collected and used.

We collect personal information from:

members of the general public who generally use the Website to view information about the Property but who do not create a Profile (Unregistered Visitors);
occupiers of the Property (e.g. individuals who live or work in the Property) who generally use the Website to view information about the Property, provide ratings, reviews and comments, submit responses to surveys and polls and book facilities at the Property and who create a Profile (Registered Users);
individuals employed or engaged by a Property Administrator who are generally responsible for administering the Website and CMS and creating and posting Content to be viewed by Unregistered Visitors and Registered Users on the Website and who create a Profile (Registered CMS Users).

By visiting our Website, using our CMS or otherwise providing CoreVision with your personal information, you consent to your personal information being collected, stored, used and disclosed as set out in this policy or as otherwise disclosed by us at the time of collection.

The Website and CMS may contain links to other websites and apps that are not owned, operated or controlled by us. As such, we are not responsible for the information on these sites, or their privacy policies.

What kinds of personal information do we collect?

Unregistered Visitors

The personal information we collect and hold from Unregistered Visitors will depend on the nature of your interaction with us, but may include the following types of information:

name and contact information such as phone numbers and email addresses;
your IP address;
any other personal information which you supply to us, including information on your gender, age, activities, interests, personal descriptions.

Registered Users

The personal information we collect and hold from Registered Users will depend on the nature of your interaction with us, but may include the following types of information:

name and contact information such as phone numbers and email addresses;
responses to polls, surveys and questionnaires;
your transaction history (e.g. your activity on the Website including information about your purchases made through the Website);
any other personal information which you supply to us, including information on your gender, age, activities, interests, personal descriptions and photographs of you.

Registered CMS Users

The personal information we collect and hold from Registered CMS Users will depend on the nature of your interaction with us, but may include the following types of information:

name, residential address, business address, and contact information such as phone numbers and email addresses;
the content of any communications with other Registered CMS Users on the CMS;
your transaction history (i.e. your activity on the CMS including additions and changes made to Content);
any other personal information which you supply to us, including information on your gender, age, activities, interests, personal descriptions.

What kinds of non-personal information do we collect?

We use data collection services called “cookies” and data collected by other technologies that allow us to track your use of the Website and/or CMS. The technical data is used to determine visitor traffic, trends, remember your preferences and deliver personalised content to you while you are using the Website and/or CMS.

We may also share aggregated, non-personally identifiable information publicly, for example, to show trends about the general use of the Website and/or CMS.

How do we collect personal information?

Unregistered Visitors

CoreVision collects personal information from Unregistered Visitors, if you choose to provide it through one or more of the following means:

when you contact us to make an enquiry or leave feedback;
when you browse the Website generally (e.g. our servers may collect your IP address).

Registered Users

CoreVision collects personal information from Registered Users, if you choose to provide it through one or more of the following means:

when you register as a Registered User by creating a Profile on the Website;
when you post Content to the Website;
when you complete a poll, survey or questionnaire; and
cookies when you access and use the Website.

Registered CMS Users

CoreVision also collects personal information from Registered CMS Users, if you choose to provide it through one or more of the following means:

when you register as a Registered CMS User by creating a Profile on the CMS;
when you add, modify or replace Content on the CMS;
when you contact our customer service team to make an enquiry or leave feedback; and
cookies when you access and use the CMS.

All users

We endeavour to only collect personal information about an individual from that individual. There are some circumstances when we may need to collect your personal information from third parties, such as financial institutions. We may also collect personal information from publicly available records.

We may hold your personal information in electronic or hard copy form, or a combination of both.

How do we use your personal information?

CoreVision uses the personal information (which is not sensitive information) about Unregistered Visitors, Registered Users and Registered CMS Users it collects for the purposes for which it was provided to CoreVision and for related secondary purposes, to carry out CoreVision’s business purposes, to fulfil its legal obligations, other related purposes or as permitted or required by law.

In particular, CoreVision may use your personal information to:

verify your identity;
provide products and services that you have requested, and respond to your enquiries;
recommend products and services that may be of interest to you, based on your transaction history and preferences;
manage your Profile and provide you with customer support;
provide you with information about our events or our services that may interest you, and more generally, to maintain our relationship with you;
send promotional offers and marketing material to you;
maintain a database of users of the Website and/or CMS;
enhance your experience of the Website and/or CMS, and make the Website and/or CMS easier for you to use, including remembering your preferences and personalising your experience on the Website and/or CMS;
plan our product and service development in accordance with the needs of our customers;
facilitate our business operations.

You do not have to provide personal information to us if you do not wish to, but if you do not do so, it may affect our ability to provide you with our products and services and with information about them.

How do we use sensitive information?

Sensitive information is a type of personal information that includes information about an individual’s criminal record, racial or ethnic origin or sexual orientation or practices. We will only use your sensitive information for the purpose for which you have provided it to us and to the extent that it is reasonably necessary for us to provide the Website and/or CMS.

Who do we disclose your personal information to?

Generally, CoreVision will not disclose your personal information to any other third parties unless you have consented to such disclosure. Such consent may be given expressly or it may be implied by conduct.

In particular, your personal information may occasionally be disclosed to:

our directors, officers, employees and related entities (including entities located overseas), for the purpose of our business and marketing purposes only;
third party contractors or service providers that we use in the ordinary course of our business to assist with the delivery of our products and services (on a confidential basis and such service providers will be limited in their use of the information to the purpose of our business only);
specialist advisers who have been engaged to provide us with legal, administrative, financial, insurance, research, marketing or other services; and
any other person authorised, implicitly or expressly, when the personal information is provided to or collected by us, including the Property Administrator, Registered Users and Registered CMS Users in accordance with the terms of this Policy.

Some of CoreVision’s related entities, or third party service providers to whom we may disclose your personal information, may be located in countries outside Australia or may hold your data on servers located outside of Australia. We will endeavour to take reasonable steps to ensure that these parties handle your personal information in a manner that is consistent with the Australian Privacy Principles and this Privacy Policy.

CoreVision reserves the right to disclose any personal information (including sensitive information) to law enforcement or other government officials where we reasonably believe that this may be necessary or appropriate, or where it will prevent or lessen a serious and imminent threat to somebody’s safety, life or health.

CoreVision will never sell, trade, lease or rent your personal information to third parties.

Direct marketing communications

We will not send you marketing and promotional communications.

Our Commitment to Data Security

CoreVision takes the security of your personal information very seriously. We take reasonable steps to protect the personal information we hold, whether in electronic or other form, from misuse, interference and loss and from unauthorised access, modification or disclosure.

CoreVision may retain any personal information you provide during the use of the Website and/or CMS, for a period of 12 months after your last interaction with us. After 12 months, we will take reasonable steps to destroy or permanently de-identify personal information we hold if it is no longer needed for CoreVision’s business purposes and it is permissible by law to do so.

Access to personal information

You may request access to personal information that CoreVision holds about you in writing by using the contact details below. CoreVision will process such requests within a reasonable time and may charge a fee for providing access, which will cover the costs of verifying the application and retrieving the information requested. If CoreVision denies an access request, it will provide reasons for doing so.

Correction of personal information

CoreVision will take reasonable steps to ensure that any personal information we hold about you is accurate, complete and up to date. If there are any changes to your personal information, please let us know using the contact details below.

If you request us to, we will take reasonable steps to correct the personal information we hold about you so that it is accurate, complete and up to date, or will provide reasons for not doing so.

Complaints

If you wish to make a complaint about a breach of this Privacy Policy, or the Australian Privacy Principles, you can contact CoreVision using the contact details below. You will need to provide sufficient details regarding your complaint, as well as any supporting evidence and information.

Your complaint will be reviewed by our Privacy Officer, who will investigate the issue and determine the steps that CoreVision will take to resolve your complaint.
